Terms of Use

1. Acceptance of Terms

By accessing or using the Engining Ads website and platform (the "Services"), you agree to be bound by these Terms of Use. If you do not agree, you may not use the Services.

2. Description of Services

Engining Ads provides an AI-powered OpenRTB-based programmatic advertising platform that enables real-time bidding, audience targeting, campaign management, and analytics for advertisers and publishers. Specific service features are subject to the terms of your service agreement.

3. Account Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Acceptable Use

You agree not to:

Use the Services for any unlawful purpose or in violation of applicable advertising regulations (including IAB standards and local advertising laws)
Upload or distribute malicious code, malware, or prohibited ad creatives
Interfere with or disrupt the integrity or performance of the platform
Attempt to gain unauthorized access to any part of the Services
Use automated means (bots, scrapers) to access the platform without permission
Submit invalid traffic (IVT), click fraud, or artificially inflate impression/click counts

5. Intellectual Property

The Engining Ads platform, including its software, algorithms, AI models, user interface, trademarks, and content, is protected by intellectual property laws, including US Patent 12,277,936 B1. You may not copy, modify, distribute, or reverse-engineer any part of the platform without express written permission.

6. Limitation of Liability

To the maximum extent permitted by law, Engining Ads shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability for any claim shall not exceed the amount paid by you for the Services in the 12 months preceding the claim.

7. Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

8. Indemnification

You agree to indemnify and hold harmless Engining Ads, its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

9. Termination

We reserve the right to suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Services will immediately cease.

10. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
